Terms and Conditions

1. Use/Redemption.
   Tasting Pass may only be used or redeemed toward the purchase of eligible products and services from participating vendors. Promotional offer terms, promotional discounts, terms of purchase and all related rights and obligations are solely between Tasting Pass holder and vendor. Promotional offers are subject to change at the participating vendor’s sole and absolute discretion and is valid through the date appearing on the card. Tasting Pass will not be honored after expiration date. RedAwning.com, Inc. may, from time to time by email, website or other media, provide Tasting Pass purchasers with information about then current promotional offers. 2. Limitations.

• Tasting Pass may not be used or redeemed for the purchase of products and services that are not included in the Tasting Pass.
• Tasting Pass cannot be used to purchase other offers.
• Tasting Pass cannot be renewed, resold, transferred for value, redeemed for cash or applied to any other account, except to the extent required by law.

1. Risk of Loss.
   The risk of loss and title for Tasting Pass passes to the purchaser upon RedAwning.com, Inc.’s electronic transmission to the purchaser, recipient or delivery to the carrier, whichever is applicable. We are not responsible if a Tasting Pass pass is lost, stolen, destroyed or used without your permission. Similarly, RedAwning.com is not responsible for any loss, damage, liability or injury to person or property (together “Loss”) you or others may suffer as a result of the use or consumption of products or services obtained in conjunction with the use or redemption of the Tasting Pass. By use of the Tasting Pass, you acknowledge that RedAwning.com specifically disclaims any and all Loss, and you affirmatively agree to defend, indemnify, release and hold harmless RedAwning.com from all such Loss.
2. Fraud.
   RedAwning.com will have the right to close customer accounts if a fraudulently or illegally obtained Tasting Pass  is redeemed and/or used to make purchases from a participating vendor.
3. Limitation of Liability.
   REDAWNING.COM, INC. AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO TASTING PASS  , INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A TASTING PASS CODE IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH TASTING PASS. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
4. Disputes.
   Any dispute relating in any way to Tasting Pass in which the aggregate total claim for relief sought on behalf of one or more parties exceeds $1,000 shall be adjudicated in any state or federal court in Alameda County, California, and you consent to exclusive jurisdiction and venue in such courts.
5. General Terms.
   RedAwning.com Tasting Pass is issued by RedAwning.com, Inc., a California corporation. When you purchase, receive or redeem a RedAwning.com Tasting Pass, you agree that the laws of the State of California, without regard to principles of conflict of laws, will govern these Tasting Pass terms and conditions. RedAwning.com reserves the right to change these terms and conditions from time to time in its discretion. All terms and conditions are applicable to the extent permitted by law.
